Terms of Governance & Service

1. Acceptance of Terms & Corporate Entity

These Terms of Governance govern the use of all digital services, software deliverables, student incubation cohorts (Nexus), and adaptive AI engines (Pragati AI) provided by Vyomara Technologies Pvt Ltd, incorporated under the Indian Companies Act. By contracting our services or enrolling in our cohorts, you agree to be bound by these provisions.

2. Intellectual Property (IP) Transfer & Ownership

Custom Software Engagements: Unless otherwise specified in a custom Master Services Agreement (MSA), 100% of proprietary source code, database architectures, APIs, and visual design assets engineered specifically for a client are assigned to the client upon full settlement of contracted milestone invoices.

Core Ecosystem & Pre-built Frameworks: Vyomara Technologies retains ownership of its underlying modular accelerator frameworks, generic UI token systems, and proprietary AI neural models (e.g. Pragati AI).

3. Service Level Agreements (SLA) & Reliability

Vyomara Technologies commits to a 99.99% system availability SLA on cloud infrastructure directly managed under our enterprise DevOps retainer. Scheduled maintenance is conducted during low-traffic maintenance windows with 48 hours prior notification to client stakeholders.

4. Academic & Student Cohort Code of Conduct (Nexus)

Participants enrolled in Nexus cohorts must uphold academic honesty and genuine proof-of-work integrity. Any intentional submission of plagiarized code or malicious exploitation of incubation infrastructure results in immediate revocation of certification and cohort termination without refund.

5. Jurisdiction & Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or proceeding arising under these agreements shall be subject to the exclusive jurisdiction of the competent courts located in Gwalior, Madhya Pradesh, India.
